Corporate Associate

DeWitt seeks an associate attorney with four or more years of experience to bolster its dynamic business and transactional practice group in Minneapolis, Minnesota. The ideal candidate will be driven by a passion for business success, highly self-motivated, and possess significant expertise in closely held businesses, mergers and acquisitions, and general business law. We are particularly interested in self-starters with entrepreneurial spirit eager to contribute to and enhance DeWitt’s corporate practice. While experience in trusts and estates or real estate is a plus, it is not a requirement. 

Responsibilities
• Assist senior attorneys in advising clients on various corporate matters, including mergers and acquisitions, corporate governance, securities offerings, and general corporate transactions. 
• Conduct legal research to support clients’ needs and provide well-reasoned legal opinions. 
• Draft and review legal documents, including contracts, agreements, and corporate policies. 
• Participate in due diligence processes for corporate transactions. 
• Collaborate with cross-functional teams to ensure seamless execution of projects. 
• Stay current with industry trends, regulations, and legal developments. 

Requirements:
• Juris Doctor (J.D.) degree from an accredited law school. 
• Admission to the Bar in Minnesota. 
• Minimum three years of relevant experience in corporate law. 
• Strong understanding of corporate governance, mergers and acquisitions, securities laws, and general corporate law principles. 
• Excellent written and verbal communication skills. 
• Exceptional analytical and problem-solving abilities. 
• Proven ability to manage multiple tasks and prioritize effectively. 
• Detail-oriented with a commitment to delivering high-quality work. 
• Ability to work both independently and collaboratively in a team-oriented environment. 
• Proficiency in legal research tools and Microsoft Office Suite.
