  • Role/responsibilities can impact ethical responsibilities

    • In-house counsel charged with overseeing investigatio
    • Outside counsel tasked with conducting a privileged investigatio
    • Outside counsel engaged to conduct neutral investigations
    • Overview of MN Rules of Professional Responsibility implicated by investigations

Client considerations and scope of representation

  • Corporate entity
  • Officers/directors/managers
  • Conflict considerations, conflict waivers
  • Engagement of separate counsel for "constituents"
  • Joint defense agreements

Privilege and Work Product Issues

  • Maintenance of privilege
  • Waiver of privilege
  • Unintentional
  • Intentional, i.e., to establish cooperation in a compliance investigation

Interacting with witnesses

  • Represented parties
  • Unrepresented parties
  • Disclosure obligations, including Upjohn warnings
  • Duty of candor, etc.
